CoreIntel provides professional digital services to UK businesses, including:

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to affected clients.
3. Client Obligations
As a client, you agree to:
- Provide accurate, complete, and timely information necessary for service delivery
- Grant necessary access to websites, accounts, and platforms as required
- Review and provide feedback on deliverables within agreed timeframes
- Maintain the security of any account credentials we provide
- Notify us immediately of any unauthorized access or security concerns

- Not use our services for any unlawful, fraudulent, or harmful purposes
- Ensure all content provided to us does not infringe third-party rights
4. Service Agreements and Proposals
Individual services are governed by specific proposals or service agreements that detail:

- Pricing and payment schedules
- Revision policies and approval processes
In case of conflict between these Terms of Service and a specific service agreement, the service agreement shall prevail for that particular engagement.
5. Payment Terms
Unless otherwise specified in your service agreement:
- Payment is due according to the schedule outlined in your proposal
- Late payments may result in suspension of services and interest charges until accounts are brought current
Refunds are handled on a case-by-case basis based on work completed.
6. Intellectual Property Rights
CoreIntel Property: All methodologies, tools, templates, and pre-existing materials used in delivering our services remain the property of CoreIntel.
Client Deliverables: Upon full payment, clients receive ownership or license to use final deliverables as specified in the service agreement. This typically includes:
- Website designs and code (excluding third-party licenses)
- Custom AI chatbot configurations
- Automation workflows developed specifically for your business
Third-Party Materials: Some deliverables may include third-party components subject to their own license terms, which we will disclose to you.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes business strategies, customer data, technical specifications, and any information marked as confidential. These obligations survive the termination of our business relationship.
8. SEO and Marketing Results
While we employ industry best practices and data-driven strategies, we cannot guarantee specific rankings, traffic levels, or conversion rates. SEO and digital marketing results depend on many factors, including:
- Search engine algorithm changes
- Competitor activities
- Market conditions
- Client's implementation of recommendations
- Quality of existing website and content
We provide transparent reporting and will work collaboratively to optimize results based on performance data.
9. Limitation of Liability
To the maximum extent permitted by law:
- CoreIntel shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- We are not liable for lost profits, business interruption, or loss of data arising from our services
- Our total liability shall not exceed the fees paid by you in the six months preceding the claim
Nothing in these terms excludes or limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
10. Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranty of any kind, express or implied. We disclaim all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure.
11. Indemnification
You agree to indemnify and hold harmless CoreIntel, its directors, employees, and agents from any claims, damages, losses, or expenses arising from: (a) your breach of these terms; (b) your violation of any law or third-party rights; (c) content you provide to us; or (d) your use of our services.
12. Termination
Either party may terminate services as follows:
- Monthly retainer services may be terminated with 30 days written notice
- Project-based work may be terminated according to the terms in the service agreement
- We may terminate immediately for non-payment or breach of these terms
Upon termination, you remain responsible for payment of all services rendered up to the termination date. We will provide reasonable assistance in transitioning work to another provider.
13. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, power outages, or pandemics.
14. Governing Law and Disputes
These Terms of Service shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising from these terms shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
15. Severability
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
16. Changes to Terms
We reserve the right to modify these terms at any time. Material changes will be communicated to active clients via email or through our website. Continued use of our services after changes constitutes acceptance of the modified terms. The "Last updated" date reflects the most recent revision.
